These are the complete, unified terms governing Pearl Marketplace — listings, enquiries, reviews, Partner registration, referrals and Rewards, Marketplace Boost and paid campaigns, consent and cookie handling, and all related features. Please read them in full before using the Marketplace.
Updated: 03 September 2026Pearl Marketplace ("Marketplace", "we", "us", "our") is a business-to-business and business-to-consumer platform made up of independent businesses that already hold an active client relationship with Pearl Organisation ("Partners"). Partners may be listed to offer their own, independent services to other companies or individuals ("Users", "you", "visitors"), and may separately participate in referrals under the Rewards structure described below. By browsing the Marketplace, viewing a listing, submitting an enquiry, leaving a review, registering as a Partner, submitting a referral, or purchasing Marketplace Boost or any paid campaign, you agree to be bound by these Terms of Use in full, together with Pearl Organisation's Privacy Policy.
If you do not agree with any part of these terms, or if use of a platform of this kind is not permitted where you are located, you must not access or use the Marketplace. See International Use & Restricted Regions.
Marketplace listings and Partner registration are available only to businesses, agencies, or individuals with an active client relationship with Pearl Organisation. A prospective Partner must first be an existing, active Pearl Organisation client before they are permitted to register for or appear on the Marketplace — it is not available as a standalone product to the general public. Registration is completed through the Partner's Pearl Client Workspace (PCW) login by submitting general information, including payout/bank details and a tax identifier (such as PAN/EIN) where required; registration is approved automatically, with no manual review step, but is subject at all times to Pearl Organisation's ongoing eligibility review, and Pearl Organisation may reject, restrict, or reverse a registration at its sole discretion.
Pearl Organisation determines, at its sole discretion, whether a Listing appears on the Marketplace, whether it carries a "Verified" badge, and whether it is restricted, suspended, or removed, including where a client's account is inactive, a project is under review, a Partner has violated these Terms, or a Listing is found to contain inaccurate or misleading information. You are responsible for the accuracy of your own Listing — business description, services offered, keywords, images, pricing indications, and portfolio content — and Pearl Organisation may edit, hide, or remove content that is inaccurate, unlawful, or that misrepresents the services actually offered, without prior notice.
The Marketplace is currently intended for participants who are able to use it in the English language, and Pearl Organisation does not guarantee availability in any particular location or language.
A Partner may, at any time and without needing to contact support, unpublish their own Listing directly from the Partner section of the Pearl Client Workspace (PCW). Unpublishing removes the Listing from public view but does not automatically cancel any active, already-paid Marketplace Boost or Campaign, and does not entitle the Partner to a refund for time remaining on a paid Campaign. A Partner may re-publish a previously unpublished Listing from the same PCW screen, subject to Pearl Organisation's standing eligibility review.
Pearl Organisation operates the Marketplace solely as a neutral platform that allows a User and a Partner to find and contact one another. We do not sell, resell, provide, supervise, endorse, or take part in the services a Partner offers, and we are not a broker, agent, contractor, employer, insurer, or guarantor for either side of any Transaction.
Any Transaction that results from contact made through the Marketplace — including pricing, scope of work, timelines, quality, delivery, payment, refunds, disputes, warranties, or any other term — is a matter strictly and exclusively between the User and the Partner, entered into at each party's own sole discretion and own risk. Pearl Organisation is not, directly or indirectly, a party to that Transaction in any manner, has no visibility into its terms unless voluntarily shared with us, and bears no responsibility or liability whatsoever for its outcome, whether that outcome involves non-performance, poor quality, non-payment, fraud, misrepresentation, property damage, personal injury, or any other loss.
We do not provide dedicated support to Users for matters concerning a Partner's services, business practices, authenticity, licensing, insurance, financial standing, or ability to deliver. The presence of a "Verified" badge or a Listing's placement on the Marketplace (boosted or otherwise) reflects only that the Partner holds an active client relationship with Pearl Organisation at the time of listing — it is not, and must not be treated as, an endorsement, certification, background check, or guarantee of the Partner's competence, reliability, or integrity. Users are solely responsible for carrying out their own due diligence before engaging a Partner, including verifying credentials, licensing, references, and any agreement terms, entirely at the User's own discretion and own risk.
By using the Marketplace to contact or engage a Partner, you acknowledge and accept that Pearl Organisation is not associated with the resulting Transaction directly or indirectly, and you release Pearl Organisation from any claim, demand, or liability of any kind arising out of or connected to it, to the fullest extent permitted by applicable law.
When a visitor submits an enquiry through a Listing, their name, contact details, and message are shared with the listed Partner directly, and a copy is sent to Pearl Organisation's internal oversight team so genuine platform-abuse issues can be followed up on. This oversight copy is used only for platform integrity purposes — it does not make Pearl Organisation a party to, or responsible for, any resulting Transaction. Visitors submitting an enquiry or review are asked to provide accurate contact information.
Reviews are moderated before publishing. A submitted review is not guaranteed to be published, and a Partner may decline to have a review submitted about them published. Fake, incentivized, or misleading reviews are not permitted and may be removed at any time, at our sole discretion and without prior notice.
Participation in the Marketplace does not itself require earning points or reaching a level. Instead, eligible Partners may separately choose to submit client Referrals, each tracked through the stages Submitted → Converted → Credited. A Referral is "Converted" when the referred prospect becomes a paying client, and Pearl Organisation has the right to make the final decision on whether a given prospect qualifies as a valid Conversion.
Rewards are calculated on a tiered basis, based on a Partner's cumulative number of successfully Converted Referrals:
Each Reward is a one-time payment per successful Referral conversion. A Partner may raise a withdrawal request only once their credited balance reaches USD 100 (or equivalent) — this threshold applies regardless of tier. Pearl Organisation's accounts department processes approved withdrawals to the Partner's registered bank account with a transaction ID. Pearl Organisation may, at its own discretion, make changes from time to time to Reward tiers, eligibility criteria, and benefits, and will use reasonable efforts to notify Partners at least thirty (30) days before such a change via email and/or the Pearl Client Workspace. Pearl Organisation does not guarantee any profit, revenue, savings, sales, business opportunity, or other success from participating in Referrals or Rewards.
Marketplace Boost and any other paid promotional campaign ("Campaign") is an optional, paid feature that gives a Listing priority placement in Marketplace search and rankings for a chosen keyword, category, or duration. Pricing is calculated per keyword/campaign based on the duration tier selected at the time of purchase, and is displayed in full before payment is made.
The Marketplace, and every feature within it — including Listings, Referrals, Rewards, and Boost/Campaigns — is provided on an "as is" and "as available" basis, without warranties of any kind, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law. Pearl Organisation does not guarantee that a Listing will generate any particular number of views, enquiries, sales, conversions, or business outcomes, whether or not Marketplace Boost or a Campaign is purchased, and does not guarantee any profit, revenue, or business opportunity from Referrals or Rewards. Pearl Organisation is not a party to, and has no responsibility for, any agreement entered into between a User and a Partner as a result of a Marketplace enquiry or Listing — see Our Role: Platform Only.
By submitting content to a Listing — a business description, service details, portfolio items, images, or a review — you confirm that you have the right to share that content and that it does not infringe any third party's rights. You agree not to use the Marketplace for unlawful, deceptive, or misleading purposes, and not to submit content that is abusive, defamatory, or otherwise inappropriate.
Every Partner further represents and warrants that they will: (i) conduct all activity connected to the Marketplace, including Referrals, in full compliance with applicable laws and regulations, including privacy and data-protection laws such as the TCPA, GDPR, and CCPA where applicable; (ii) avoid deceptive, misleading, or unethical practices, and not disparage Pearl Organisation, the Marketplace, or its services; and (iii) hold and maintain, at their own expense, all regulatory and legal licences and certifications necessary to use the Marketplace and any Rewards or benefits under it. Pearl Organisation may remove any content or restrict any account, at its sole discretion, that it believes breaches this section.
Before using the Marketplace to submit an enquiry, leave a review, register a Listing, submit a Referral, or make a Boost/Campaign purchase, you will be asked to actively acknowledge these Terms of Use and our Privacy & Cookie notice. This acknowledgement is captured on a per-session basis: each new browsing session records a fresh, timestamped consent record tied to that session before the relevant action is allowed to proceed. Returning within the same active session does not require re-acknowledgement; a new session, a cleared session, or a material update to these Terms will prompt the consent step again.
Consent given in this manner covers: (i) your agreement to these Terms of Use in full, (ii) your acknowledgement that Pearl Organisation is a platform only and is not a party to any Transaction (see Our Role: Platform Only), and (iii) your acknowledgement of the Privacy & Cookie notice described below. Where a specific action requires a distinct legal basis under applicable law (for example, marketing communications or non-essential cookies in the EEA/UK), a separate, specific consent will be requested for that action and can be withdrawn as described in European Union / EEA / UK Users.
We use strictly necessary cookies and session identifiers to operate core Marketplace functionality (for example, keeping you signed in, remembering your consent choice, and preventing fraudulent submissions). Where permitted by law, we may also use analytics and functionality cookies to understand Marketplace usage and improve the experience. Non-essential cookies are only set with your consent where required by applicable law, and you may withdraw that consent at any time through your browser settings or the cookie preference control on the Marketplace, without affecting the lawfulness of processing before withdrawal.
Personal data submitted through an enquiry, review, or Partner registration (name, contact details, message content, and payout/registration details for Partners) is used only to operate the Marketplace, connect Users with Partners, process Referrals and Rewards, process payments for Boost/Campaigns, maintain platform integrity, and comply with legal obligations. It is not sold to third parties. Full detail on what we collect, why, how long we retain it, and your rights over it is set out in Pearl Organisation's Privacy Policy, which forms part of these Terms by reference.
We apply administrative, technical, and organisational safeguards intended to protect Marketplace data against unauthorised access, alteration, disclosure, or destruction. No method of transmission or storage is completely secure, and while we work to protect your information, we cannot guarantee absolute security, and use of the Marketplace is at your own risk in this respect. Partner payout/bank details and any identity or tax information submitted for registration are handled under restricted access and used solely for the purposes for which they were collected (verification, Reward payout, and legal/tax compliance).
Pearl Organisation may disclose certain information to a Partner in connection with their participation which is considered confidential ("Confidential Information"). This does not include information that was already known to the Partner without any obligation of confidence, that becomes public other than through the Partner's disclosure, or that must be disclosed by law or court order. A Partner must keep Confidential Information strictly confidential and use it only as reasonably necessary to participate in the Marketplace, without Pearl Organisation's prior written consent for any other use.
If you believe your data has been accessed without authorisation or misused in connection with the Marketplace, contact us immediately using the details in Contact.
Pearl Organisation may, in its sole discretion, restrict, suspend, or terminate a Listing, a Partner's registration, or a User's access to the Marketplace — including any Rewards, benefits, or Referrals in progress — at any time, with or without advance notice, if it determines that these Terms, or any policy incorporated into them, have been violated in any manner. This includes, without limitation, Partners with multiple project cancellations, suspicious behaviour, chargeback-associated accounts, or Referral submissions that are consistently denied or found invalid.
Violation of these Terms may result in immediate termination of a Partner's or User's participation in the Marketplace, with or without notice. You agree to participate in the Marketplace at your own risk and expense, and Pearl Organisation is not liable for any loss arising from a suspension or termination made in accordance with this section.
The Marketplace is administered from India and made available for general international access. It is your responsibility to ensure that your use of the Marketplace — browsing, listing, contacting a Partner, submitting a Referral, or entering into a Transaction — complies with the laws applicable to you, including any laws restricting online platforms that connect independent third-party service providers with the public.
If use of a platform of this kind is prohibited, restricted, or requires a licence you do not hold in your jurisdiction, you must not use the Marketplace, and you do so at your own risk and own initiative if you proceed regardless. Pearl Organisation may, at its discretion and without notice, block, geo-restrict, or refuse access from any region where it determines legal or regulatory risk exists, and reserves the right to refuse service to anyone for any lawful reason.
If you access the Marketplace from the European Union, European Economic Area, or United Kingdom, the following additional terms apply and prevail over any conflicting general term above for such users:
Listings and pages on the Marketplace may link to third-party websites, social media profiles, payment processors, or Partner-owned sites not owned or controlled by Pearl Organisation. Pearl Organisation is not responsible for the content, accuracy, security, or practices of any third-party site linked from or connected to the Marketplace, and linking to a site does not imply endorsement.
Pearl Organisation may update these Terms from time to time, at its sole discretion, including any part covering Listings, Referrals, Rewards, or Boost/Campaigns. The "Updated" date at the top of this page reflects the most recent revision. Material changes will trigger a fresh session-based consent prompt as described in Consent & Session Acknowledgement. Continued use of the Marketplace after a change is posted constitutes acceptance of the updated Terms.
To the fullest extent permitted by law, Pearl Organisation and its officers, directors, shareholders, employees, and affiliates will not be liable for any indirect, incidental, special, punitive, or consequential damages arising from use of the Marketplace — including loss of business, goodwill, profits, or data — whether arising from a Listing, an enquiry, a review, a Referral, a Reward, a Boost/Campaign purchase, or, most importantly, any Transaction between a User and a Partner, in which Pearl Organisation is not, and shall not be treated as, directly or indirectly involved.
You agree to defend, indemnify, and hold harmless Pearl Organisation and its officers, directors, employees, and affiliates from any claim, damage, loss, liability, cost, or expense (including reasonable legal fees) arising from: your use of the Marketplace; your Listing content; your Transaction with any other party; your violation of a third party's right, including copyright, property, or privacy rights, in connection with your participation; any agreement you sign with your own customers in relation to Pearl Organisation's services; any omission or inaccuracy in your own advertisements or promotional materials; or your breach of these Terms.
These Terms are governed by the laws of India, without regard to conflict-of-law principles, save where a mandatory local consumer-protection or data-protection law applicable to you (including under European Union / EEA / UK Users) requires otherwise, in which case that mandatory local law applies only to the extent required. Any dispute arising from these Terms or the Marketplace that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts at Dehradun, Uttarakhand, India, except where applicable law grants you the right to bring proceedings in your own local courts.
These Terms, together with the Privacy Policy, constitute the entire, unified agreement between you and Pearl Organisation regarding the Marketplace — including Listings, enquiries, reviews, Referrals, Rewards, and Boost/Campaigns. Any dispute arising from or relating to a Transaction between a User and a Partner is the sole responsibility of the parties involved, and each party waives any claim against Pearl Organisation in connection with such a dispute. If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
